Distribution Agreement
Principal Terms
Masters
You keep 100% ownership of your masters. This agreement covers the masters you distribute through Windmill, including new releases.
Distribution
Existing masters move from your current distribution provider to our platform. New releases come directly through us. You give us permission to deliver the masters to platforms and use your professional name and artwork in promotion while the songs are on our platform.
Infrastructure, Strategy and Digital
We offer infrastructure, strategy and digital. We provide the distribution infrastructure, we provide strategy, and we run experiments with our digital team. We help scale the records.
Takedown
You may remove songs from the platform on 60 days’ written notice.
Distribution Fee
We retain a 30% distribution fee off the top of master revenue actually received by us. The remaining 70% is paid to you quarterly, with statements.
Future Funding
Funding may be explored case by case. Any funding is subject to a mutually approved separate written agreement, with economics to be agreed at that time.
ROFN / Matching Right
For each covered master, our right of first negotiation and matching right apply for as long as that master is on our platform. Before accepting a new deal on that master, you will first give us the right to negotiate and, if a third party makes an offer, provide the written offer and an opportunity to match its material terms.
Artist Confirmation
You confirm that you own the masters, are free to enter this agreement, and have all rights and permissions needed, including sample clearances and producer permissions. You will cover us for third-party claims, losses and costs arising from a breach of these confirmations, if the claim results in a final adverse judgment.
